Data Privacy Agreement

As you may be aware, on June 4, 2021, the European Commission approved and adopted the new Standard Contractual Clauses (“New SCCs”), in effect June 27, 2021, as a mechanism for the lawful transfer of Personal Data from EU to a Third Country, which must replace the old standard contractual clauses that may be in use. Additionally, the New SCCs have been approved for use by the United Kingdom, which adopted the International Data Transfer Addendum (“UK Addendum”) for use in conjunction with the New SCCs, and the Swiss Federal Data Protection and Information Commissioner issued guidelines for approving the use of the New SCCs with certain amendments (“Swiss Addendum”).

For that reason Upland Software, Inc. (“Upland) sent a Letter indicating the need to adopt and implement the New SCCs, UK Addendum, and Swiss Addendum, collectively incorporated into the EU Standard Contractual Clauses Addendum (“Addendum”), which was attached to the Letter and signed by Upland. The Addendum is necessary to meet our respective obligations under data protection laws.

Therefore, please confirm your acceptance of the Addendum by checking the acknowledgment below and providing all necessary information requested.

Please be advised, Upland will consider your company’s failure to respond as indicated above within 15 business days of receipt of the letter or by December 15, 2022, which is sooner, as your company’s acceptance to the Addendum.
