{"id":2691,"date":"2017-09-11T10:21:54","date_gmt":"2017-09-11T16:21:54","guid":{"rendered":"https:\/\/upllive.wpengine.com\/psa\/?page_id=2691"},"modified":"2017-09-11T10:51:37","modified_gmt":"2017-09-11T16:51:37","slug":"hosting-service-level-agreement","status":"publish","type":"page","link":"https:\/\/uplandsoftware.com\/psa\/hosting-service-level-agreement\/","title":{"rendered":"PSA Hosting Service Level Agreement (HSLA)"},"content":{"rendered":"<p>BY CONTACTING LICENSOR FOR TECHNICAL SUPPORT THROUGH THE TELEPHONE NUMBER OR URL ADDRESS PROVIDED WITH THIS AGREEMENT OR BY DOWNLOADING ANY UPGRADES PROVIDED WITH THIS AGREEMENT, THE INDIVIDUAL OR ENTITY WHO PURCHASED THE SUPPORT AND MAINTENANCE PLAN (\u201cLICENSEE\u201d) IS CONSENTING TO BE BOUND BY AND IS BECOMING A PARTY TO THIS AGREEMENT.<\/p>\n<p><strong>PSA Hosting Service Level Agreement (HSLA)<\/strong><\/p>\n<p>The purpose of this document is to define the Service Level Agreement (HSLA) for the maintenance and support of the PSA Hosting Service (\u201cService\u201d).\u00a0 Service Level Agreements are used as a tool to measure and guide Licensor and Licensee in achieving the goals for effective service delivery of all licensed applications (\u201cSoftware\u201d) to the Licensee. Licensor is providing Licensee with the capability to run the Software in a hosted environment. Licensor may choose to work with other Internet or Application Server service providers in providing its Service to Licensee.<\/p>\n<p><strong>1. The Hosting Service<\/strong><br \/>\nSpecifically, Licensor will provide the following:<\/p>\n<ul>\n<li><strong><em>Application Administration<\/em><\/strong><br \/>\nSoftware installation and software updates (patches, upgrades, support, and maintenance)<\/li>\n<li><strong><em>Technical Support<\/em><\/strong><br \/>\nOnline and telephone support during coverage hours, 24\u00d77 access to support portal<\/li>\n<li><strong><em>Service Management<\/em><\/strong><br \/>\nClient activation, security monitoring, change control, problem management, and escalation procedures<\/li>\n<li><strong><em>System Administration<\/em><\/strong><br \/>\nSystem configuration, deployment, support, monitoring, response, repair, tuning and capacity planning<\/li>\n<li><strong><em>Network Administration<\/em><\/strong><br \/>\nNetwork provisioning, monitoring, response, repair, security, utilization management and capacity planning<\/li>\n<li><strong><em>Data backup and retention<\/em><\/strong><br \/>\nBackups of Licensee data<\/li>\n<\/ul>\n<p>Licensee is responsible for purchase and maintenance of its own equipment, hardware and access, including but not limited to network and data connection, to establish a connection to the Internet.<\/p>\n<p>1.1\u00a0Non-Hosting Services<\/p>\n<ul>\n<li>Training &amp; Professional Services<\/li>\n<li>Data Conversion Services<\/li>\n<\/ul>\n<p>Please refer to the PSA Service Catalogue for a full description of our service offerings.<\/p>\n<p><strong>2. Server Environment<\/strong><\/p>\n<p>2.1\u00a0Location<br \/>\nAll application environments are physically located in Tier 3 Enterprise Class Data Centers. Each data center has the following attributes:<\/p>\n<ul>\n<li>24\u00d77 Security<\/li>\n<li>Redundant Internet Feeds<\/li>\n<li>Redundant Power Feeds<\/li>\n<li>HVAC<\/li>\n<li>Fire Detection and Suppression<\/li>\n<\/ul>\n<p>For more information please refer to the PSA On-Demand Facilities document.<\/p>\n<p>2.2\u00a0Hardware<br \/>\nThe hardware configuration of the application environment is as follows:<\/p>\n<ul>\n<li>Firewalls<\/li>\n<li>Application Servers<\/li>\n<li>Clustered Database servers<\/li>\n<li>RAID50 &amp; RAID10 Data Storage<\/li>\n<\/ul>\n<p>2.3\u00a0Software<\/p>\n<table border=\"1\" width=\"400\" cellspacing=\"0\" cellpadding=\"2\" align=\"center\">\n<tbody>\n<tr>\n<td width=\"50%\">Server Operating System<\/td>\n<td width=\"50%\">Microsoft Windows<\/td>\n<\/tr>\n<tr>\n<td>Database<\/td>\n<td>SQL Server<\/td>\n<\/tr>\n<tr>\n<td>Web Server<\/td>\n<td>IIS<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p>&nbsp;<\/p>\n<p>2.4\u00a0Bandwidth Allocation<br \/>\nThe application environment is equipped with a committed data circuit feed that is burstable to 100 Mbps.<\/p>\n<p>2.5\u00a0Security<br \/>\nLicensor ensures that Licensee data is protected with physical security, data encryption, user authentication, application security, and more. Specific measures include:<\/p>\n<ul>\n<li>All servers are located behind the firewall with only essential ports enabled.<\/li>\n<li>All firewalls have Intrusion Detection enabled.<\/li>\n<li>All Licensee data is stored in separate physical databases.<\/li>\n<li>128-bit SSL encryption<\/li>\n<\/ul>\n<p><strong>3. Service Measures<\/strong><\/p>\n<p>3.1\u00a0Quotas<br \/>\nThe following quotas for disk and bandwidth usage are applied:<\/p>\n<ul>\n<li><em>Database Disk quota\u00a0<\/em>(for standard account information): Licensee\u2019s database size can utilize 5GB of disk space. Additional disk space may be purchased separately.<\/li>\n<li><em>Document Storage quota\u00a0<\/em>(for files uploaded by users): Licensee\u2019s document storage can utilize 1GB of disk space. Additional disk space may be purchased separately.<\/li>\n<\/ul>\n<p>3.2\u00a0Availability<br \/>\nThe following availability will be maintained:<\/p>\n<table border=\"1\" width=\"100%\" cellspacing=\"0\" cellpadding=\"2\" align=\"center\">\n<tbody>\n<tr>\n<td bgcolor=\"#CCCCCC\" width=\"22%\">\n<div align=\"center\"><strong>Measurement<\/strong><\/div>\n<\/td>\n<td bgcolor=\"#CCCCCC\" width=\"39%\" height=\"20\">\n<div align=\"center\"><strong>Definition<\/strong><\/div>\n<\/td>\n<td bgcolor=\"#CCCCCC\" width=\"39%\">\n<div align=\"center\"><strong>Licensor HSLA<\/strong><\/div>\n<\/td>\n<\/tr>\n<tr>\n<td valign=\"top\" bgcolor=\"#CCCCCC\">\n<div align=\"left\"><strong>Software Availability<\/strong><\/div>\n<\/td>\n<td valign=\"top\">The periods of time that the Software is available for use by the Licensee not including scheduled downtime.<\/td>\n<td valign=\"top\">24 x 7 x 365, 99.5% average over a month not including scheduled downtime.<\/td>\n<\/tr>\n<tr>\n<td valign=\"top\" bgcolor=\"#CCCCCC\">\n<div align=\"left\"><strong>User Response Time<\/strong><\/div>\n<\/td>\n<td valign=\"top\">The time it takes for the Software to complete a user request and return a response.<\/td>\n<td valign=\"top\">Because of many external factors involved in this measurement, the response time cannot be specified.<\/td>\n<\/tr>\n<tr>\n<td valign=\"top\" bgcolor=\"#CCCCCC\">\n<div align=\"left\"><strong>Backups<\/strong><\/div>\n<\/td>\n<td valign=\"top\">Licensee data as well as application installation backups.<\/td>\n<td valign=\"top\">Full database backups are performed every evening between the hours of 1am \u2013 3 am EST. Two copies of the backups are retained one onsite and the other offsite on a daily basis. Backup files will be retained for thirty days.<\/td>\n<\/tr>\n<tr>\n<td valign=\"top\" bgcolor=\"#CCCCCC\">\n<div align=\"left\"><strong>Restoration of Services<\/strong><\/div>\n<\/td>\n<td valign=\"top\">In the event of a major disaster event, such as flooding of the hosting facility or an earthquake that destroys the infrastructure.<\/td>\n<td valign=\"top\">Licensor will restore services at alternate location within 3 business days.<\/td>\n<\/tr>\n<tr>\n<td valign=\"top\" bgcolor=\"#CCCCCC\">\n<div align=\"left\"><strong>Maximum Restore Age<\/strong><\/div>\n<\/td>\n<td valign=\"top\">It is the maximum age of the data should we need to restore production data from backup.<\/td>\n<td valign=\"top\">No More than 24 hours.<\/td>\n<\/tr>\n<tr>\n<td valign=\"top\" bgcolor=\"#CCCCCC\">\n<div align=\"left\"><strong>Problem Response Time<\/strong><\/div>\n<\/td>\n<td valign=\"top\">Provision of user support.Primary Coverage will be 9am-5pm Licensee\u2019s local time Monday through Friday, excluding statutory holidays.<\/p>\n<p>Response time will be calculated by dividing the numbers of calls responded to in one hour or less divided by the total number of calls received for the month.<\/td>\n<td valign=\"top\">90% of calls responded to in one hour or less during primary coverage.We are targeting a 90% compliance rate that every issue \/ call will be responded to in one hour or less during primary coverage. To calculate this we take: # of issues responded to in 1 hr or less \/ total number of issues. Work cannot reasonably continue as the feature or function does not allow completion of work and its operation is mission critical to the business.Examples:<\/p>\n<ol type=\"a\">\n<li>Majority or all of the users are unable to use the application,<\/li>\n<li>Highly important reports (such as invoicing) cannot be generated,<\/li>\n<li>System crashes repeatedly after restart attempts.<\/li>\n<\/ol>\n<\/td>\n<td valign=\"top\">1 hour during Primary Coverage hours (one hour after hours for clients with 24 x 7 x 365 support plan)<\/td>\n<td valign=\"top\">Worked on Continuously until a solution s found, however, targeting an 8 hour resolution time or until a viable workaround can be applied<\/td>\n<td valign=\"top\">The problem will be worked on until fixed or a reasonable workaround is applied.Updates will be provided to the Licensee every 4 hours.<\/td>\n<\/tr>\n<tr>\n<td valign=\"top\" bgcolor=\"#CCCCCC\">\n<div align=\"left\"><strong>Priority 2<\/strong><\/div>\n<\/td>\n<td valign=\"top\">The problem causes important loss of service. A major software function is experiencing a reproducible problem that causes a major inconvenience to the Licensee.An acceptable workaround may or may not be available, however, operation can continue in a restricted fashion. The current release should be patched if a permanent workaround cannot be found and the next release is not imminent.<\/td>\n<td valign=\"top\">4 hour during Primary Coverage hours (4 hour after hours for clients with 24 x 7 x 365 support plan)<\/td>\n<td valign=\"top\">3 Business Days<\/td>\n<td valign=\"top\">The problem will be worked on until fixed or a reasonable workaround is applied.Updates will be provided at the end of every day.<\/td>\n<\/tr>\n<tr>\n<td valign=\"top\" bgcolor=\"#CCCCCC\">\n<div align=\"left\"><strong>Priority 3<\/strong><\/div>\n<\/td>\n<td valign=\"top\">The Problem causes minor loss of service or is a minor error. The impact is an inconvenience that may require a workaround to restore functionality or is a minor error, incorrect behaviour, or a documentation error that does not impede the operation of a system.<\/td>\n<td valign=\"top\">24 hour during Primary Coverage hours<\/td>\n<td valign=\"top\">5 days or Mutually agreed to time<\/td>\n<td valign=\"top\">Licensor will work with Licensee to mutually prioritize and schedule resolutions into regular release cycles.<\/td>\n<\/tr>\n<\/tbody>\n<\/table>\n<p>&nbsp;<\/p>\n<p><strong>3.4\u00a0Downtime \/ Maintenance<\/strong><br \/>\nLicensor periodically adds, repairs, and upgrades the data center network, hardware and the Software and shall use its best efforts to accomplish this without affecting the Licensee\u2019s access to any Software; however, repairs of an emergency or critical nature may result in the Service not being available for the Licensee\u2019s usage during the course of such repairs. Compatibility with New Software<\/strong><br \/>\nLicensee consents and acknowledges that prior to upgrading third party software, the Licensee is solely responsible to verify and insure that such third party software is compatible with their current or future versions of Software. The most significant applications which the Licensee should carefully check for compatibility before upgrading are: new versions of operating systems, databases, web servers, report engines, business intelligence software, accounting software, project planning tool, CRM application, reporting tools, or any other third party tools used by or integrated with the Software. Licensor will not be responsible for any failures or malfunctions\u2019 resulting from such upgrade and reserves the right not to provide support for such installations.<\/p>\n<p><strong>5. Support Discontinuance\u00a0<\/strong><br \/>\nCompany agrees to support any given version of the Licensed Product for 36 months as of its official release, regardless of Licensee\u2019s decision to upgrade to the new version or not upon the availability of such upgrade.<\/p>\n<p><strong>6. Limitation of the HSLA<\/strong><\/p>\n<p>6.1\u00a0The HSLA expressly excludes the following:<\/p>\n<ol>\n<li>Maintenance and support for non production environments and sand boxes<\/li>\n<li>Data migration<\/li>\n<li>Training<\/li>\n<li>Installation, configuration and technical support for Licensee equipment or operating systems<\/li>\n<li>Technical support, consultation or problem resolution pertaining to software applications other than those supplied by Licensor and described in this Agreement including SharePoint and Microsoft Reporting Services<\/li>\n<li>Resolution of problems resulting from negligence of the system user. Including specifically the incorrect data entry, the use of altered data or source code and the failure to use the Software according to the instructions provided in the user guide<\/li>\n<li>Support for development (PSA SDK, Web pages, etc.), integration and custom reports, whether developed by Licensee or any party other than Licensor<\/li>\n<li>Any alterations or additions, performed by parties other than Licensor, except for programs using product interfaces provided by Licensor<\/li>\n<li>Use of the Software on an Operating Environment other than that for which such Software was designed, except as expressly prescribed in the user guide<\/li>\n<\/ol>\n<p>If Licensee requires that a member of Licensor\u2019s staff provide services pertaining to any of the above exclusion which are not included as part of the HSLA, Licensee hereby agrees to pay Licensor for these services according to the daily support service rate then in effect, prorated hourly.<\/p>\n","protected":false},"excerpt":{"rendered":"<p>BY CONTACTING LICENSOR FOR TECHNICAL SUPPORT THROUGH THE TELEPHONE NUMBER OR URL ADDRESS PROVIDED WITH THIS AGREEMENT OR BY DOWNLOADING ANY UPGRADES PROVIDED WITH THIS AGREEMENT, THE INDIVIDUAL OR ENTITY WHO PURCHASED THE SUPPORT AND MAINTENANCE PLAN (\u201cLICENSEE\u201d) IS CONSENTING TO BE BOUND BY AND IS BECOMING A PARTY TO THIS AGREEMENT.
